Terms and Conditions

These Terms and Conditions ("Terms") govern access to and use of the IAChatbot AI chatbot software-as-a-service (SaaS) platform, website, APIs, integrations and related services (collectively, the "Service") provided by IAChatbot ("we", "us" or "our"). By accessing or using the Service, you agree to these Terms.

1. Definitions

  • Customer: the business or individual who subscribes to or contracts the Service.
  • End User: any person who interacts with a chatbot deployed by a Customer.
  • Content: data, messages, files, prompts, knowledge bases and other materials submitted to or generated through the Service.

2. Service description

IAChatbot provides custom AI-powered chatbot solutions for customer service, sales, lead qualification, scheduling and related business workflows. The Service may include integrations with WhatsApp, Instagram, websites, CRMs and other third-party platforms, subject to availability and applicable third-party terms.

3. Account registration and eligibility

To use the Service, you must provide accurate registration information and maintain the security of your account credentials. You are responsible for all activity under your account. You represent that you have authority to bind your organization to these Terms and that your use complies with applicable laws.

4. Subscription, fees and payment

Access to certain features requires a paid subscription or custom agreement. Fees, billing cycles, setup charges and integration costs are defined in your proposal, order form or pricing page. Unless otherwise stated, fees are non-refundable. Failure to pay may result in suspension or termination of the Service.

5. Acceptable use

You agree not to use the Service to:

  • Violate any law, regulation or third-party rights;
  • Send spam, unlawful marketing or deceptive communications;
  • Transmit malware, abusive content, hate speech or illegal material;
  • Attempt unauthorized access, reverse engineering or disruption of the platform;
  • Misrepresent AI-generated responses as human when prohibited by law or platform policy;
  • Use the Service in ways that violate Meta, WhatsApp, Instagram or other integrated platform policies.

We may suspend or terminate access for violations of this section.

6. Customer responsibilities

You are responsible for:

  • Configuring chatbot flows, training content and business rules;
  • Obtaining valid consent and providing required privacy notices to End Users;
  • Ensuring that Content and chatbot behavior comply with applicable laws and industry rules;
  • Maintaining backups of critical business data where appropriate;
  • Reviewing AI-generated outputs before relying on them for legal, medical, financial or similarly sensitive decisions.

7. AI limitations

The Service uses artificial intelligence that may produce inaccurate, incomplete or inappropriate responses. AI outputs are provided for informational and operational assistance only. You acknowledge that human review may be necessary and that we do not guarantee specific business results.

8. Intellectual property

We retain all rights in the Service, software, documentation, branding and underlying technology. You retain ownership of your Content. You grant us a limited license to host, process and use your Content solely to provide and improve the Service. Feedback you provide may be used by us without restriction or compensation.

9. Third-party services

The Service may depend on third-party platforms such as Meta, cloud providers and CRM systems. We are not responsible for outages, policy changes or actions of third parties. Your use of those services is subject to their own terms and policies.

10. Confidentiality

Each party agrees to protect confidential information received from the other party and to use it only for purposes related to the Service, except as required by law.

11. Data protection

Our handling of personal data is described in our Privacy Policy. Where required, a separate data processing agreement may apply between us and the Customer.

12. Service availability and support

We strive to maintain high availability but do not guarantee uninterrupted access. Maintenance, updates and events beyond our reasonable control may cause temporary downtime. Support levels depend on your plan and agreement.

13. Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

14. Limitation of liability

To the maximum extent permitted by law, IAChatbot shall not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or business opportunities. Our total liability arising out of or related to the Service shall not exceed the amount paid by you to us in the twelve (12) months preceding the event giving rise to the claim.

15. Indemnification

You agree to indemnify and hold IAChatbot harmless from claims, damages, losses and expenses arising from your Content, your use of the Service, your violation of these Terms or your violation of applicable laws or third-party rights.

16. Term and termination

These Terms remain in effect while you use the Service. Either party may terminate according to the applicable subscription agreement. We may suspend or terminate access immediately for material breach, non-payment or legal/security reasons. Upon termination, your right to use the Service ceases, subject to any data export or retention terms in your agreement.

17. Changes to the Terms

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised date. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

18. Governing law and disputes

These Terms are governed by the laws of Brazil, without regard to conflict-of-law principles, unless otherwise agreed in writing. Disputes shall be submitted to the courts of the competent jurisdiction in Brazil, unless mandatory local consumer protection rules provide otherwise.
